These Terms of Service constitute a legally binding agreement between you and RCMedia Services, located in Somerset, Kentucky.
These Terms govern your access to and use of our websites, digital products, software, creative services, technical services, subscriptions, credit-based services, and other online or offline offerings.
In these Terms:
- “RCMedia,” “we,” “us,” and “our” refer to RCMedia Services.
- “Customer,” “client,” “you,” and “your” refer to the individual or organization purchasing, accessing, or using our products or services.
- “Deliverables” means final work specifically identified for delivery to a customer.
- “Client Materials” means photographs, video, audio, artwork, text, data, files, credentials, instructions, and other materials supplied by or for a customer.
- “Digital Products” includes software, scripts, templates, graphics, documents, downloads, licenses, media, subscriptions, credits, and other electronically delivered products.
By accessing our website, placing an order, accepting an estimate, making a payment, downloading a product, creating an account, or using a product or service, you agree to these Terms.
If you do not agree to these Terms, do not purchase or use our products or services.
1. Eligibility and Authority
You must be at least 18 years old or the legal age of majority in your jurisdiction to enter into a purchase or service agreement with RCMedia.
If you act on behalf of a business, organization, agency, nonprofit, or other entity, you represent that you have authority to accept these Terms and bind that entity.
You are responsible for ensuring that your use of our products and services is lawful in your jurisdiction.
2. Products and Services
RCMedia may provide products and services including:
- Photography and photographic restoration
- Video recording, production, and editing
- Audio editing and production
- Graphic design and digital artwork
- Website design, development, hosting, and maintenance
- Software, scripts, plugins, and web applications
- Digital downloads and licensed content
- Artificial-intelligence-assisted creative services
- Consulting, writing, marketing, and technical services
- Subscriptions, memberships, usage credits, and hosted services
- Physical products or media when specifically offered
Product descriptions, estimates, proposals, invoices, statements of work, license agreements, and checkout pages may contain additional terms.
We may add, modify, suspend, or discontinue products and services at any time. Changes will not eliminate obligations we have already expressly accepted for a paid order, except when performance becomes unlawful, impossible, unsafe, or dependent on a discontinued third-party service.
3. Order of Controlling Documents
When documents contain different terms, the following order generally controls:
- A signed written contract or statement of work
- A product-specific license agreement or end-user license agreement
- An accepted proposal or estimate
- The applicable invoice, order form, or checkout description
- A product-specific refund, delivery, or support policy
- These Terms of Service
- General website advertising or promotional material
A more specific written agreement controls over a more general provision covering the same subject.
4. Estimates, Proposals, and Project Scope
Unless otherwise stated, estimates and proposals are valid for 30 days.
An estimate is based on the information available when it is prepared. It may be revised if:
- The project requirements change;
- Client Materials are incomplete, unsuitable, damaged, or different from what was described;
- Additional labor or third-party expenses become necessary;
- The customer requests work outside the original scope;
- Previously unknown technical problems are discovered; or
- The customer delays the project and pricing or availability changes.
Only the products, services, deliverables, revisions, and usage rights expressly identified in the accepted estimate or agreement are included.
Discussions, demonstrations, mockups, samples, exploratory work, and informal suggestions do not expand the project scope unless confirmed in writing.
5. Payments
Prices are stated in United States dollars unless otherwise indicated.
We may require:
- Full payment before delivery;
- A deposit before work begins;
- Milestone payments;
- Recurring subscription payments;
- Payment for usage credits; or
- Reimbursement of approved expenses.
A project is not scheduled and work is not required to begin until any required deposit or initial payment has been received.
Unless a written agreement states otherwise, final payment is due before the release of final, unwatermarked, high-resolution, production-ready, transferable, or downloadable deliverables.
Late balances may result in:
- Suspension of work;
- Delayed delivery;
- Suspension of hosting, licensing, downloads, or account access;
- Withholding of final files;
- Referral for collection; or
- Recovery of reasonable collection expenses where permitted by law.
We may correct pricing, description, or configuration errors before accepting an order. If an order was placed using materially incorrect pricing, we may cancel the order and issue a refund rather than fulfill it at the erroneous price.
6. Payment Processing
Payments may be processed through Stripe or another third-party payment processor.
By submitting payment information, you authorize the payment processor and RCMedia to charge the selected payment method for the disclosed amount, including applicable taxes, recurring charges, approved additional work, or other amounts authorized by you.
RCMedia does not ordinarily receive or store complete payment card numbers.
Payment processing is also subject to the payment processor’s applicable terms and privacy practices. RCMedia is not responsible for payment-processor outages, account restrictions, fraud-screening decisions, currency conversions, banking delays, or other matters controlled by the payment processor or financial institution.
7. Taxes
Prices may not include sales, use, value-added, excise, or similar taxes unless expressly stated.
You are responsible for applicable taxes associated with your purchase, except taxes imposed on RCMedia’s net income. When required, taxes may be calculated and added during checkout or invoicing.
Tax treatment of digital products and services varies by location. You are responsible for supplying accurate billing and tax information.
8. Custom Project Process
You agree to provide timely:
- Instructions and specifications;
- Client Materials;
- Approvals and feedback;
- Account access and credentials;
- Contact information;
- Decisions from authorized representatives; and
- Payment.
RCMedia is not responsible for delays caused by missing information, delayed feedback, changed instructions, unavailable participants, inaccessible locations, third-party failures, or other circumstances outside our control.
When no response deadline is stated, requested approvals or feedback should be provided within 10 business days.
If a client does not respond for 30 consecutive days, we may classify the project as inactive or abandoned. Restarting an inactive project may require:
- Payment of outstanding balances;
- A new schedule based on current availability;
- A reactivation fee;
- A revised estimate; or
- A new agreement.
Previously paid amounts are not automatically refundable when a project becomes inactive because of client delay.
9. Revisions and Change Requests
The number and type of included revisions will be stated in the estimate, product description, or agreement.
A revision is a reasonable adjustment to work produced within the approved scope. A revision is not:
- A new concept or direction;
- A replacement of previously approved material;
- A change to the original objective;
- New content or functionality;
- Reconstruction caused by inaccurate instructions;
- Additional formats not originally included; or
- Work required because a third party changed its system.
Additional revisions, new concepts, expedited work, and out-of-scope requests may be billed separately.
RCMedia will not be required to perform additional work until any revised price, schedule, or scope has been accepted.
10. Customer Review and Approval
You are responsible for carefully reviewing proofs, drafts, previews, demonstrations, staging versions, and final deliverables.
Your approval confirms that you have reviewed, as applicable:
- Spelling and grammar;
- Names, dates, prices, addresses, and contact information;
- Image selection and placement;
- Colors and visual appearance;
- Timing, edits, captions, and audio;
- Website links, forms, and functionality;
- Product descriptions and legal notices; and
- Other factual or creative details.
After approval, corrections or changes may be treated as additional work.
RCMedia is not responsible for errors that were present in Client Materials or that the customer approved, except to the extent required by law.
Differences may occur between monitors, mobile devices, printers, paper, inks, video displays, speakers, browsers, operating systems, and file-compression systems. Exact color, brightness, audio, or display matching is not guaranteed across all devices or reproduction methods.
11. Artistic and Professional Discretion
Creative services involve professional and subjective judgment.
Unless a written agreement specifies otherwise, RCMedia retains reasonable discretion concerning:
- Composition;
- Editing;
- Color treatment;
- Retouching;
- Typography;
- Pacing;
- Transitions;
- Sound treatment;
- File preparation;
- Technical implementation; and
- Overall presentation.
Reference images, examples, mockups, and style descriptions communicate a general direction. They do not guarantee an identical result.
Dissatisfaction based solely on personal taste does not establish that a product or service is defective when it substantially conforms to the accepted scope.
12. Photography, Video, and On-Location Services
For photography, video, recording, and on-location work, the customer is responsible for:
- Securing permission to enter and record at the location;
- Obtaining required permits;
- Coordinating participants;
- Obtaining appropriate model, property, music, performance, and appearance releases;
- Disclosing venue restrictions;
- Providing a safe and lawful working environment; and
- Identifying moments, individuals, products, or details that must be captured.
RCMedia cannot guarantee that every person, event, expression, angle, statement, or unscripted moment will be recorded.
Weather, lighting, noise, crowd behavior, equipment restrictions, participant behavior, and venue rules may affect results.
We may stop or decline work when conditions are unsafe, unlawful, abusive, threatening, or materially different from those disclosed.
Rescheduling, cancellation, travel, and weather terms may be stated in the applicable estimate or agreement.
13. Digital Product Delivery
Digital Products may be delivered through:
- A download link;
- Email;
- A customer account;
- A license or activation key;
- A hosted interface;
- Cloud storage;
- A software repository; or
- Another electronic delivery method.
A Digital Product is considered delivered when the download, access information, license key, or account access is made available to the customer.
You are responsible for:
- Providing a valid email address;
- Checking spam or junk folders;
- Downloading files before temporary links expire;
- Maintaining backups;
- Confirming system requirements;
- Installing updates and security patches; and
- Protecting account credentials and license keys.
Unless ongoing storage is expressly included, RCMedia is not required to permanently retain downloadable files or completed project files after delivery.
14. Software and Technical Requirements
Software, scripts, plugins, websites, and hosted services may require specific:
- Server configurations;
- PHP, database, or software versions;
- Browsers or operating systems;
- Hosting permissions;
- APIs;
- Third-party accounts;
- Internet connectivity; or
- Hardware capabilities.
You are responsible for reviewing disclosed system requirements before purchase.
Unless maintenance or compatibility updates are expressly included, purchase of a software product does not guarantee perpetual compatibility with future versions of operating systems, browsers, hosting platforms, APIs, themes, plugins, or third-party software.
Product-specific software licenses, activation limits, support terms, update policies, and installation restrictions may be provided separately and are incorporated into these Terms.
15. Website Development, Hosting, and Third-Party Systems
Website and software projects may depend on third-party products and services, including:
- Domain registrars;
- Web-hosting companies;
- Content-management systems;
- Themes and plugins;
- Payment processors;
- Email providers;
- Social networks;
- Analytics services;
- Artificial-intelligence services;
- APIs;
- Stock-media providers; and
- Cloud platforms.
Third-party products and services are governed by their own terms, pricing, licenses, privacy policies, availability, and technical limitations.
RCMedia does not control and cannot guarantee the continued availability, compatibility, security, pricing, or functionality of third-party services.
Unless expressly included in a continuing maintenance agreement, RCMedia is not responsible for:
- Future software updates;
- Third-party incompatibilities;
- Website maintenance;
- Security monitoring;
- Malware removal;
- Content updates;
- Broken external links;
- Hosting outages;
- Domain expiration;
- Email deliverability; or
- Changes made by the customer or another provider.
The customer is responsible for maintaining current backups and protecting administrative credentials.
16. Subscriptions and Recurring Billing
When a product or service is sold as a subscription, the price, billing interval, renewal terms, included services, and cancellation method will be disclosed at or before purchase.
Unless otherwise stated, subscriptions automatically renew at the disclosed interval until canceled.
By purchasing a recurring subscription, you authorize RCMedia and its payment processor to charge the payment method on file for each renewal.
You may cancel a subscription through the cancellation method provided with the service or by contacting RCMedia.
Cancellation prevents future renewal charges but does not ordinarily create a prorated refund for the current billing period unless:
- A product-specific policy states otherwise;
- The service was materially defective;
- RCMedia agrees to a refund; or
- A refund is required by law.
Access may continue through the end of the paid billing period unless the account is terminated for misuse, fraud, nonpayment, or a material violation of these Terms.
17. Usage Credits
Some services may operate through prepaid usage credits.
Unless a product-specific policy states otherwise:
- Credits are applied only to the designated service;
- Credits have no cash value;
- Credits cannot be redeemed for cash;
- Credits may not be transferred or resold;
- One service operation may consume one or more credits as disclosed;
- A completed processing request may consume a credit even when the customer dislikes the subjective result;
- A credit may be restored when processing fails because of a verified system error; and
- Expiration terms, if any, will be disclosed before purchase.
Fraudulent, duplicated, promotional, or mistakenly issued credits may be revoked.
18. Cancellations and Refunds
Nothing in this section limits rights that cannot legally be waived.
Digital Products
Because Digital Products can be copied, accessed, activated, or downloaded immediately, sales are generally final after delivery.
A refund may be provided when:
- The customer was charged more than once for the same purchase;
- The wrong product was delivered;
- The product is materially different from its description;
- A verified technical defect prevents reasonable use and RCMedia cannot provide a correction;
- RCMedia cancels the order before delivery; or
- A refund is required by law.
A change of mind, failure to review system requirements, inability to use the product because of an unsupported environment, or dissatisfaction with a clearly described feature ordinarily does not qualify for a refund.
Custom Services
Deposits and reservation payments compensate RCMedia for scheduling, preparation, administrative work, and declining other work. They may become nonrefundable once work begins or time has been reserved.
If the customer cancels a custom project, the customer is responsible for:
- Work completed through the cancellation date;
- Time reserved or services already performed;
- Approved expenses;
- Noncancelable third-party costs; and
- Any cancellation fee stated in the agreement.
If prepaid amounts exceed the amount properly owed, the remaining balance will be returned, except for a separately identified nonrefundable deposit or reservation fee where permitted by law.
Physical Products
When physical products are offered, the return and refund policy displayed with the product or during checkout controls.
Custom, personalized, opened, used, or made-to-order products may not be returnable unless defective or otherwise required by law.
Refund Method
Approved refunds are generally returned to the original payment method. Processing times are controlled partly by the payment processor and financial institution.
19. Payment Disputes and Chargebacks
Customers should contact RCMedia promptly concerning billing questions or disputed transactions so that the matter can be investigated.
Filing a knowingly false or fraudulent chargeback is a material violation of these Terms.
When a chargeback or payment dispute is filed, we may provide the payment processor or financial institution with relevant records, including:
- Order information;
- Delivery records;
- Download or activation records;
- Communications;
- Accepted estimates;
- Project approvals;
- Login records; and
- Applicable policies.
We may suspend licenses, downloads, subscriptions, hosting, support, or account access while an unpaid balance or payment dispute remains unresolved.
This section does not prevent a customer from exercising a lawful right to dispute an unauthorized or genuinely incorrect charge.
20. Ownership of Client Materials
You retain ownership of Client Materials that you own.
By submitting Client Materials, you grant RCMedia a limited, nonexclusive license to copy, store, modify, process, transmit, and use those materials as reasonably necessary to:
- Evaluate the project;
- Perform the requested services;
- Produce deliverables;
- Maintain reasonable backups;
- Provide support;
- Process the transaction; and
- Comply with legal obligations.
This license does not authorize unrelated commercial use of private Client Materials.
21. Customer Representations Concerning Submitted Materials
You represent and warrant that:
- You own the Client Materials or have permission to use them;
- You have authority to authorize RCMedia to process and modify them;
- Their use will not infringe copyright, trademark, privacy, publicity, contractual, or other rights;
- Required permissions and releases have been obtained;
- Materials depicting minors were submitted by or with the authorization of a parent, guardian, or other authorized party;
- The materials are not unlawful, fraudulent, defamatory, or malicious; and
- The materials do not contain undisclosed malware or harmful code.
RCMedia may refuse or remove materials when we reasonably believe their use may be unlawful, unsafe, infringing, deceptive, or inconsistent with these Terms.
22. Ownership of RCMedia Materials
RCMedia retains ownership of all materials not expressly transferred in a signed written agreement, including:
- Preexisting intellectual property;
- Business methods and production techniques;
- Software libraries and reusable code;
- Templates and frameworks;
- Prompts and production instructions;
- Design systems;
- Tools and utilities;
- Drafts and unused concepts;
- Working files and source files;
- Project-management materials;
- Internal documentation;
- Know-how; and
- Improvements that are not unique to the customer’s confidential information.
Payment for a product or service does not automatically transfer copyright, source files, working files, authorship rights, trademarks, patents, or other intellectual-property ownership.
23. Rights in Custom Deliverables
The customer receives only the ownership or license rights expressly identified in the applicable written agreement.
Unless otherwise stated, after full payment RCMedia grants the customer a perpetual, worldwide, nonexclusive license to use the final approved deliverables for the customer’s intended personal or business purposes.
This standard license does not permit the customer to:
- Resell the deliverable as a stock asset, template, software product, or competing digital product;
- Claim authorship of RCMedia’s preexisting materials;
- Redistribute source files or reusable components;
- License the deliverable to unrelated third parties as a standalone asset;
- Remove embedded license controls or ownership notices; or
- Use rejected drafts or unpaid concepts.
A transfer of copyright, exclusive rights, work-made-for-hire treatment, or assignment of source materials must be expressly stated in a separate written agreement signed by RCMedia.
Full ownership of a customer’s original Client Materials remains with the customer.
24. Digital Product License
Unless a product-specific license states otherwise, purchase of a Digital Product grants one customer a limited, revocable, nonexclusive, nontransferable license to use the product for the disclosed purpose.
You may not:
- Sell, sublicense, share, publish, or redistribute the product;
- Make the product available for public download;
- Share license keys or account access;
- Remove copyright, licensing, or attribution notices;
- Reverse engineer protected components except where such restriction is prohibited by law;
- Circumvent activation, usage, domain, account, or technical restrictions;
- Use one license for more installations, users, businesses, websites, or domains than permitted;
- Create a competing product primarily derived from the Digital Product; or
- Represent the Digital Product as your original work.
Product-specific license terms control when they differ from this general license.
25. Source Files and Working Materials
Unless expressly included, delivery does not include:
- Layered image files;
- Editable project files;
- Raw footage;
- Unedited photographs;
- Source code;
- Development repositories;
- Production prompts;
- Internal notes;
- Fonts;
- Licensed stock assets;
- Software build systems; or
- Other working materials.
Source files may require additional licensing, third-party approvals, or fees.
RCMedia is not required to preserve working files indefinitely.
26. Artificial-Intelligence-Assisted Services
RCMedia may use artificial-intelligence-assisted tools as part of creative, technical, writing, restoration, editing, development, or production workflows.
When such tools are used:
- Results may contain unexpected details or inaccuracies;
- Similar results may be generated for other users;
- Output may not be exclusive;
- Copyright or other intellectual-property protection may be limited or uncertain;
- Some outputs may require additional human editing;
- Third-party platform terms may apply; and
- Results may vary between processing attempts.
RCMedia does not guarantee that artificial-intelligence-assisted output is unique, registrable, free from every possible similarity, or suitable for every legal or commercial purpose.
The customer is responsible for reviewing and approving the final output before publication, advertising, trademark registration, commercial distribution, or other consequential use.
Private Client Materials will be handled according to our Privacy Policy and applicable project agreement.
27. Third-Party Content and Licenses
Deliverables may incorporate properly licensed:
- Stock photographs;
- Video;
- Audio;
- Music;
- Fonts;
- Software;
- Plugins;
- themes;
- Code libraries;
- Data; or
- Other third-party materials.
Third-party materials remain subject to their original licenses. The customer receives only the rights allowed by those licenses.
Some licenses may limit:
- Redistribution;
- Trademark use;
- Broadcast use;
- Audience size;
- Print quantities;
- Resale;
- Modification; or
- Transfer to another party.
Unless expressly included, the customer is responsible for obtaining continuing or expanded third-party licenses required by future uses.
28. Portfolio and Promotional Use
RCMedia will not ordinarily publish private personal photographs, confidential materials, or nonpublic Client Materials without permission.
RCMedia may request permission to display completed work in a portfolio, demonstration, case study, award submission, social-media post, or promotional presentation.
Public-facing work created for publication may be displayed when:
- The customer has approved such use;
- The applicable agreement authorizes it;
- The customer has already publicly released the work; or
- The work was specifically commissioned for public distribution.
Confidentiality requirements must be disclosed and agreed to in writing before work begins.
29. Confidential Information
Each party agrees to use reasonable care with nonpublic information clearly identified as confidential or that a reasonable person would understand to be confidential.
Confidential information does not include information that:
- Was already lawfully known;
- Becomes public without breach;
- Is independently developed;
- Is received lawfully from another source; or
- Must be disclosed by law.
RCMedia may disclose information to contractors and service providers who reasonably need it to perform the requested work and who are subject to appropriate confidentiality obligations.
A separate nondisclosure agreement may be used when a project involves unusually sensitive information.
30. Acceptable Use
You may not use our website, products, services, accounts, systems, or deliverables to:
- Violate a law or regulation;
- Infringe intellectual-property or privacy rights;
- Commit fraud or impersonate another person;
- Distribute malware or harmful code;
- Attempt unauthorized access;
- Interfere with system operation;
- Circumvent license or security controls;
- Harass, threaten, exploit, or defame others;
- Create unlawful deceptive media;
- Facilitate abuse or exploitation of minors;
- Process stolen or unauthorized materials; or
- Misrepresent RCMedia’s involvement or endorsement.
We may refuse, suspend, or terminate service when we reasonably believe use violates these Terms, applicable law, payment-provider requirements, or third-party platform rules.
31. Account Security
You are responsible for activity occurring through your account, credentials, license keys, and authorized users.
You agree to:
- Use accurate account information;
- Keep passwords and license keys confidential;
- Restrict access to authorized persons;
- Notify us promptly of suspected unauthorized use; and
- Avoid sharing access beyond applicable license limits.
RCMedia is not responsible for loss caused by your failure to safeguard credentials.
32. Support and Updates
Support and update availability varies by product.
Purchase does not include unlimited consulting, customization, training, installation, maintenance, or future development unless expressly stated.
Support may be limited to:
- A specified period;
- Certain versions;
- Documented features;
- Supported environments;
- The original purchaser; or
- Customers with an active license or subscription.
We may require diagnostic information reasonably necessary to investigate a problem.
Updates may modify, replace, add, or remove features. We do not guarantee that every older version will remain supported indefinitely.
33. Delivery Dates and Service Interruptions
Dates and schedules are good-faith estimates unless expressly guaranteed in writing.
RCMedia is not responsible for delay or nonperformance caused by circumstances beyond reasonable control, including:
- Severe weather;
- Natural disasters;
- Illness or emergency;
- Utility or internet failure;
- Equipment failure despite reasonable precautions;
- Cyberattack;
- Labor disruption;
- Government action;
- Transportation interruption;
- Third-party platform outage;
- Hosting failure;
- API changes;
- Supply shortage; or
- Client delay.
When reasonably possible, we will communicate a material delay and propose a revised schedule or appropriate resolution.
34. Disclaimers
To the fullest extent permitted by law, websites, Digital Products, and services are provided “as is” and “as available,” except for express written warranties stated in a product description or signed agreement.
RCMedia disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, and error-free operation to the extent those warranties may lawfully be disclaimed.
We do not guarantee:
- Specific financial or commercial results;
- Search-engine rankings;
- Social-media reach;
- Advertising performance;
- Customer conversions;
- Compatibility with every device or platform;
- Continuous availability;
- Prevention of every security incident;
- Acceptance by an app store, payment processor, host, or third-party platform;
- Legal approval of customer content; or
- Results controlled by third parties.
You are responsible for determining whether a product or service is appropriate for your needs.
35. Limitation of Liability
To the fullest extent permitted by law, RCMedia will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, reputational harm, or replacement-service costs.
RCMedia’s total liability arising from a product, service, project, or transaction will not exceed the amount actually paid to RCMedia for the specific product or service giving rise to the claim during the 12 months preceding the event giving rise to liability.
These limitations do not apply to liability that cannot legally be limited or excluded.
36. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless RCMedia and its owners, employees, and contractors from third-party claims, damages, liabilities, judgments, and reasonable expenses arising from:
- Client Materials;
- Your instructions;
- Your violation of these Terms;
- Your unlawful or unauthorized use of a deliverable;
- Your infringement of another party’s rights;
- Your failure to obtain permissions, releases, or licenses;
- Content you publish or distribute; or
- Modifications made by you or another provider.
RCMedia will provide reasonable notice of a covered claim and reasonable cooperation, at your expense.
37. Suspension and Termination
We may suspend or terminate access to a product or service for:
- Nonpayment;
- Fraud;
- Chargeback abuse;
- License violation;
- Security threats;
- Unlawful use;
- Abuse of personnel or systems;
- Material breach of these Terms; or
- Requirements imposed by law or a third-party provider.
When reasonably possible, we may provide an opportunity to correct a curable violation.
Termination does not eliminate payment obligations or provisions concerning ownership, licenses, confidentiality, liability, indemnification, dispute resolution, or other provisions intended to survive.
38. Copyright Complaints

39. Privacy
Our collection and use of personal information are governed by the RCMedia Services Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
40. Electronic Communications and Acceptance
You consent to receive agreements, invoices, receipts, notices, approvals, and other communications electronically.
Electronic acceptance may include:
- Clicking an acceptance checkbox;
- Placing an order;
- Submitting payment;
- Replying with approval;
- Signing electronically;
- Creating an account;
- Downloading a product; or
- Using a service after receiving these Terms.
You are responsible for retaining copies of agreements and communications relevant to your purchase.
41. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules.
Before filing a legal action, the parties agree to make a good-faith effort to resolve the dispute through direct written communication.
Unless applicable law requires otherwise, legal proceedings arising from these Terms or an RCMedia transaction must be brought in a court of competent jurisdiction serving Pulaski County, Kentucky.
42. Changes to These Terms
We may update these Terms to reflect changes in products, technology, business practices, payment services, or legal requirements.
The updated version will be posted with a revised effective date.
Changes apply prospectively unless otherwise stated. Material changes to an existing paid subscription or continuing service will be communicated as reasonably appropriate.
Changes do not retroactively remove rights already earned or materially alter a completed transaction without a lawful basis.
43. Assignment
You may not transfer an account, license, subscription, or agreement without written permission from RCMedia.
RCMedia may assign these Terms in connection with a merger, sale, restructuring, transfer of assets, or succession of the business, subject to applicable law.
44. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
The invalid provision will be interpreted or limited as closely as legally possible to its intended purpose.
45. No Waiver
Failure to enforce a provision does not waive the right to enforce it later.
A waiver is effective only when stated in writing by an authorized representative of RCMedia.
46. Entire Agreement
These Terms, together with the Privacy Policy and applicable estimates, invoices, licenses, product descriptions, refund policies, statements of work, and signed agreements, constitute the agreement between you and RCMedia concerning the applicable transaction.
They replace prior discussions or communications concerning the same subject, except for obligations contained in an existing signed agreement.
